SPORTSFLOW PARTICIPATION WAIVER, RELEASE OF LIABILITY, AND PLATFORM ACKNOWLEDGMENT

WARNING: By accepting this Waiver you will waive certain legal rights, including the right to sue for ordinary negligence. Read carefully.

1. Definitions
- "Sportsflow," "we," or "us" means Kwok Hei Iden Tang, an individual doing business as "Sportsflow," and their agents, contractors, volunteers, and representatives.
- "Platform" means the online/mobile service that enables users to create, discover, and join third-party sports activities and events.
- "Organizer" means an independent third-party user who lists, hosts, or operates an Event.
- "Participant," "you," or "your" means the individual agreeing to this Waiver.
- "Event(s)" means any sports or fitness activities, meetups, games, classes, sessions, and related activities listed by Organizers on or discovered through the Platform, including travel to/from Events.

2. Platform-Only Role; No Control Over Events
You acknowledge Sportsflow is a Platform provider only. We are not an event organizer, operator, host, venue, trainer, guide, supervisor, or insurer, and we do not control, supervise, direct, endorse, or assume responsibility for any Event, Organizer, venue, equipment, transportation, or other participants. Organizers are independent third parties solely responsible for their Events, including safety, legal compliance, staffing, equipment, and supervision. Sportsflow has no duty to vet, background-check, or monitor Organizers, participants, venues, or equipment.

3. Voluntary Participation; Fitness; Rules
You participate voluntarily and are responsible for evaluating your fitness, health, skill level, and equipment. You will follow Event rules, instructions, and applicable laws; avoid participating while ill, impaired, or under the influence; and use appropriate protective gear.

4. Description of Risks (Non-Exhaustive)
Sports and fitness activities involve serious risks, which can be severe or fatal. Risks include, without limitation:
a) Exertion and stretching of muscle groups; strenuous cardiovascular activity; heat stress, heatstroke, dehydration.
b) Vigorous movements; rapid starts/stops; jumping; pivots; abrupt direction changes.
c) Collisions or contact with other participants; being struck by balls, equipment, or debris.
d) Falls to the ground/floor due to uneven, slippery, or irregular surfaces; obstacles; poor lighting.
e) Impact with nets, posts, goals, walls, fences, benches, bleachers, or other fixtures.
f) Equipment misuse, defects, or mechanical failure; improper setup or maintenance.
g) Weather and environmental conditions (heat, cold, wind, rain, lightning, poor air quality).
h) Overexertion, cramps, strains/sprains, fractures, concussions, spinal injuries, paralysis, cardiac events.
i) Exposure to communicable diseases (including COVID-19).
j) Travel to/from Events and related activities outside the Event venue.
You understand: (i) injuries can be severe; (ii) anxiety may occur when challenging yourself; (iii) following rules reduces risk; and (iv) fatigue increases risk.

5. Assumption of Risks; Personal Responsibility
You understand and voluntarily assume all risks—known and unknown—associated with your participation in any Event and related travel, and accept personal responsibility for all resulting injury, illness, disability, death, property damage, and loss.

6. Release of Liability (Ordinary Negligence Only)
To the maximum extent permitted by law, you, on behalf of yourself and your heirs, executors, administrators, and assigns, release, waive, and forever discharge Sportsflow from any and all claims, demands, losses, liabilities, damages, costs, and causes of action arising out of or related to any Event, your participation in any Event, or your use of the Platform, including claims based on ordinary negligence.
This release does not waive claims that cannot be waived under applicable law, including claims for gross negligence, willful or wanton misconduct, or intentional acts.

7. Organizer Responsibility; Indemnification
Organizers are solely responsible for their Events. To the extent permitted by law, you agree to defend, indemnify, and hold harmless Sportsflow from and against any third-party claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to (a) any Event you organize or attend, (b) your violation of laws or this Waiver, or (c) your acts or omissions.

8. No Warranties; No Safety or Medical Services
The Platform, listings, and any content are provided "as is" without warranties of any kind. Sportsflow does not provide medical care, emergency services, equipment, supervision, or safety oversight and has no duty to do so.

9. Medical Treatment; Costs; Emergency Authorizations
You consent to first aid and medical treatment deemed necessary by qualified personnel during an Event and accept full responsibility for related costs. You authorize sharing relevant information with medical providers in an emergency.

10. Photos/Recordings
You grant Sportsflow a non-exclusive, worldwide, royalty-free license to use and display your name, image, likeness, and statements captured in connection with Events for promotional and informational purposes in any media, to the extent permitted by law. To request an opt-out where feasible, contact [CONTACT EMAIL]; opt-out may be impracticable in group/public settings.

11. Governing Law; Venue; Consumer Rights (Ontario)
This Waiver is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The exclusive venue for any dispute arising out of or related to this Waiver or your use of the Platform is the courts of the Province of Ontario located in Toronto, Ontario, and the parties consent to personal jurisdiction there. Nothing in this Waiver limits any non-waivable rights you may have under the Consumer Protection Act, 2002 (Ontario). Mandatory arbitration and class-action waivers do not apply to Ontario consumers.

12. Minors
If the Participant is under 18, a parent or legal guardian must accept on the Minor's behalf. The Parent/Guardian: (a) represents they are the Minor's legal guardian with authority to bind the Minor; (b) consents to the Minor's participation; (c) agrees to this Waiver for themselves and the Minor; and (d) agrees to indemnify Sportsflow to the fullest extent permitted by law for claims arising from the Minor's participation that would be the Minor's responsibility if not a Minor.

13. Electronic Consent; Binding Effect; Notices
By typing your name, clicking "Accept," or otherwise indicating agreement electronically, you acknowledge you have read and understood this Waiver and agree to be bound by it. This Waiver binds you and your heirs, executors, administrators, successors, and assigns. Notices to Sportsflow may be sent to: [CONTACT EMAIL] and [MAILING ADDRESS].

14. Severability; Entire Agreement; Updates
If any provision is found unenforceable, it will be modified to the minimum extent necessary to be enforceable; the remainder remains in full force. This Waiver is the entire agreement regarding its subject matter and supersedes prior communications. Sportsflow may update this Waiver prospectively; material changes will be presented for renewed acceptance.

NOTICE: SOME JURISDICTIONS LIMIT OR PROHIBIT PRE-INJURY RELEASES OR THE WAIVER OF NEGLIGENCE CLAIMS. THIS WAIVER APPLIES ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
